博元因“信息披露”違法終止上市

3月21日，上交所發(fā)布《關(guān)于終止珠海市博元投資股份有限公司股票上市的公告》，由此，在去年5月暫停上市的*ST博元成為證券市場(chǎng)首家因重大信息披露違法被終止上市的公司。

The Shanghai Stock Exchange on Monday said it had, for the first time, delisted a company for breaching rules on information disclosure.
上海證交所21日表示，證交所首次終止了一家信息披露違法的公司上市。

信息披露（information disclosure）主要是指公眾公司（public corporation）以招股說(shuō)明書(shū)（prospectus）、上市公告書(shū)以及定期報(bào)告和臨時(shí)報(bào)告等形式，把公司及與公司相關(guān)的信息，向投資者和社會(huì)公眾公開(kāi)披露的行為。Disclosure有揭露，公開(kāi)的意思，如財(cái)務(wù)公開(kāi)（financial disclosure）。

信息披露制度是上市公司為保障投資者利益、接受社會(huì)公眾的監(jiān)督而依法必須遵循的制度。

讓我們一起來(lái)回顧一下這件事情的發(fā)展過(guò)程：

2015年3月31日，*ST博元獲得了摘牌警告（a delisting warning）；

同年3月26日，公司因涉嫌違規(guī)披露（illegal information disclosure）、不披露重要信息罪（non-disclosure of important information）和偽造、變?cè)旖鹑谄弊C罪（forging financial notes），被中國(guó)證監(jiān)會(huì)移送公安機(jī)關(guān)。

2015年5月28日起，公司股票被暫停上市（Trading in the company’s shares had been suspended since May 28, 2015）。

2016年3月21日，上交所決定終止博元投資股票上市（The Shanghai Stock Exchange delisted the company）。

過(guò)去一個(gè)公司摘牌是非常困難的，這鼓勵(lì)了投機(jī)文化（encourage a culture of speculation），導(dǎo)致了資本配置不當(dāng)（misallocation of capital）。上海證交所此次終止*ST博元上市受到了許多投資者的支持。同時(shí)此舉也會(huì)鼓勵(lì)上市公司依法進(jìn)行信息披露，更好地保護(hù)投資者的合法利益，有利于促進(jìn)資本市場(chǎng)的穩(wěn)定、健康發(fā)展（promote the stable and healthy development of the capital market）。
